These Terms and Conditions (“Terms”) govern your access to and use of Innvatio’s website, solutions, products, packages, professional services, outsourcing services, platforms, and related systems (collectively, the “Services”). By accessing, purchasing, subscribing to, or using any Service, you agree to these Terms. If you do not agree, you should not use the Services.

1. Eligibility and Acceptance

By using Innvatio, you confirm that you are at least 18 years old and legally able to enter into a binding agreement. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization. Continued use of the Services constitutes acceptance of updates to these Terms.

Innvatio provides technology and business solutions, including but not limited to:

• Digital products, software, platforms, automation, and packaged solutions

• Consulting, implementation, integration, support, and managed services

• Outsourcing, dedicated resources, project delivery, and custom solutions

The scope, deliverables, timelines, service levels, usage limits, and fees for a Service may be described in a package, proposal, order, statement of work, subscription, or other written agreement. We may improve, modify, suspend, or discontinue a Service, subject to applicable law and any binding written commitments.

3. Accounts and Access

3.1 Registration

You may be required to create an account, submit a package inquiry, complete onboarding, or provide project information. You agree that all information you provide is accurate, current, complete, and authorized for our use in delivering the requested Services.

3.2 Responsibility

You are responsible for maintaining the confidentiality of your account credentials, controlling access to your systems, and all activity conducted through your account or authorized users. You must promptly notify us of suspected unauthorized access or misuse.

4. Intellectual Property

4.1 Service Ownership

Innvatio and its licensors retain ownership of the Services, products, platforms, methods, templates, software, documentation, branding, and pre-existing materials, together with all related intellectual property rights, unless a written agreement expressly states otherwise.

4.2 User Data

You retain ownership of the data, content, materials, instructions, credentials, and business information you provide. You grant Innvatio a limited, non-exclusive right to access, host, process, copy, transmit, and otherwise use that information only as reasonably necessary to provide, secure, support, and improve the Services, comply with law, and fulfill our contractual obligations.

4.3 Outputs

Ownership and permitted use of custom deliverables, project outputs, configurations, and work product will follow the applicable package, proposal, statement of work, license, or written agreement. Unless agreed otherwise, third-party materials and Innvatio’s pre-existing tools remain subject to their existing ownership and license terms.

5. Acceptable Use

You agree not to use the Service to:

• Generate or distribute unlawful, harmful, or abusive content

• Violate intellectual property rights

• Introduce malware or disrupt systems

• Reverse engineer, copy, resell, or extract protected software, systems, models, methods, or code except where permitted by law or written agreement

• Access, test, scrape, probe, or interfere with the Services without authorization

6. Fees and Payments

6.1 Pricing

Fees, billing schedules, taxes, usage limits, renewal terms, and payment milestones are stated in the applicable package, quotation, order, subscription, proposal, or agreement. You agree to pay all amounts when due and to provide valid billing information.

6.2 Refunds

Payments are non-refundable once work, provisioning, licensing, resource allocation, or service delivery has begun, except where a written package term, agreement, or applicable law provides otherwise.

We may revise future pricing or package features with reasonable notice. Changes do not alter an already accepted fixed-price scope unless both parties agree or the scope changes.

7. Termination

Either party may terminate a Service as allowed by the applicable package or agreement. We may suspend or terminate access for non-payment, unlawful activity, security risk, material breach, or misuse. Fees already earned and obligations intended to survive termination remain in effect.

8. Limitation of Liability

To the fullest extent permitted by law, Innvatio is not liable for indirect, incidental, special, exemplary, or consequential damages, including loss of data, revenue, profits, opportunity, or business interruption arising from:

• Use of or inability to use a product, solution, package, service, deliverable, or third-party integration

• Decisions, actions, or results based on automated, analytical, or project outputs

• Unauthorized access, customer-controlled systems, third-party services, or events beyond our reasonable control

9. Disclaimer

Except for express written commitments, the Services are provided “as is” and “as available.” We do not guarantee that:

• Every output, recommendation, deliverable, or third-party result will be error-free or suitable for every purpose

• The Service will be uninterrupted or error-free

• A standard package or solution will satisfy requirements outside its documented scope

You are responsible for reviewing deliverables, maintaining appropriate backups, obtaining necessary permissions, and validating outputs before relying on them for legal, financial, safety-critical, or other high-impact decisions.

10. Governing Law

These Terms are governed by the laws applicable to the Innvatio entity identified in your order, proposal, invoice, or written agreement. Where no entity or jurisdiction is identified, applicable conflict-of-law rules and mandatory consumer protections remain unaffected.

11. Privacy

Our Privacy Policy explains how we collect, use, protect, retain, and share information connected with package inquiries, purchases, onboarding, projects, products, outsourcing, and use of the Services.

12. Updates to Terms

We may update these Terms to reflect changes in our Services, products, packages, operations, or legal obligations. Material changes will be communicated where required. Continued use after the effective date constitutes acceptance, except where additional consent is required by law.
